1.              AGREEMENT AND PARTIES. Justbid CA LLC, a California limited liability company, doing business as JustBid.com and JustBid, with its principal place of business as 320 Commerce Cir, Sacramento, CA 95815 (“Company,” “us,” or “we”) respects the privacy of our customers, whether they interact with us through our website www.justbid.com (the “website” or “site”), or at our physical locations including warehouses and auction facilities. This privacy policy (this “privacy policy” or “policy”) is an agreement between Company and you, as the user of our services or visitor to website (“you”). This policy, among other things, tells you when this policy was last updated, what information we collect from you, how we might use it, how you can review or change the personal information you provided to us, how we may change this policy, and the steps we take to ensure that your personal information is protected. This policy does and is intended to comply with the California Online Privacy Protection Act (CalOPPA), the California Consumer Privacy Act (CCPA), and the California Privacy Rights Act of 2020 (CPRA).
2.              AGREEMENT TO TERMS OF PRIVACY POLICY AND TERMS & CONDITIONS. All activities in which you may engage on the website are voluntary. You are not required to provide any personal information to us unless you choose to access features on the site which may require such information.  If you do not agree with the terms of this policy or our Terms & Conditions (as defined below), please do not provide us with personal information, and leave the website immediately. Our Terms & Conditions are expressly incorporated herein by reference and made a part of this policy, and are located at https://www.justbid.com/p/terms-conditions/2 (the “Terms & Conditions”). By using the website, you signify that you agree to the terms of this privacy policy as well as to our Terms & Conditions, as may be updated from time to time.
3.              EFFECTIVE DATE OF AND CHANGES TO PRIVACY POLICY. This privacy policy is effective as of the date indicated above and will remain in effect except with respect to any of its provisions that are changed in the future, in which case the changes will become effective on the “Last Updated Date” set forth above. We reserve the right to change this privacy policy at any time in our sole and absolute discretion. Changes, modifications, additions, or deletions will be effective immediately on their posting to the site. You should check this policy periodically as its terms may change from time to time. Your continued use of the site after we post any such modifications will constitute your acknowledgment of the modified policy and your agreement to abide and be bound by the modified policy.
4.              SCOPE OF THIS POLICY. This privacy policy applies to information we collect from you through our website and at our physical locations (including warehouses and retail spaces), including but not limited to video recordings, audio recordings, and other data collection methods. The policy does not extend to: (1) anything that is inherent in the operation of the internet and therefore beyond Company’s control, (2) information collected in contexts unrelated to our business operations, or (3) any collection or use that would be contrary to applicable law or governmental regulation.
5.              PERSONAL INFORMATION WE MAY COLLECT. We may ask you for certain information referred to on the site as “personal information,” which includes information that pertains to your identity. Such information may include, but is not limited to, items such as your name, address, email address, billing and shipping address, telephone number, driver’s license or other government-issued identification, and video or audio recordings if you visit our warehouses. You may be required to provide personal information to access or use certain parts of our website or features of the site. We will also collect your credit card information so you may purchase products through the site. If you do not provide the requested personal information, you may not be able to access or use the features of the site where such information is requested.
6.              GENERAL INFORMATION WE MAY COLLECT. There may be other instances in which we collect information from you that is more general in nature (“general information”). For fraud prevention, account verification, and service optimization, we collect technical data including but not limited to IP addresses, device identifiers, and browser metadata. Your computer has an IP address, which enables us to identify your device on a Transmission Control Protocol/Internet Protocol (TCP/IP) network, which includes the World Wide Web. This information helps ensure a safe and fair experience for all users. This IP address is also required for you to communicate with others via the Internet, and we will track the address and time you accessed the site from the IP. Such general information, including the click stream data and cookies, as mentioned below, may be collected from you whenever you access the site, whether or not you provide us with any personal information.
A.            Click Stream Data. When you visit our website, we may also collect “click stream data” (server address and domain name). This information can be combined with information you have provided to us by registering. We may use click stream data for traffic analysis to determine which features of our site are most or least effective or useful to you.
B.             Cookies. We may also use cookies to gather information about your visits to our website and enhance your experience. More information on how we use cookies is available in the section “Cookies and Third Party Data Collection.”
C.             Behavioral History. When you visit our site or search for items on our site, we will collect information about your search history, saved search queries, recently viewed items, and categories of goods searched. We will also track the items on your Wishlist on the site. We will use this information to make recommendations regarding products, and to provide you with a more personalized experience on the site.
D.            Inquiries and Communications. We may track and record your marketing and communication preferences, inquiries made on the site, and details related to your bids, wins, orders, invoices, and payments (“Customer Activity Information”). This tracking helps us to better understand your preferences and tailor our communications and services, accordingly, ensuring that we provide you with a personalized and relevant experience. By using our website, you acknowledge and consent to our collection and use of this Customer Activity Information for these purposes.
E.             Miscellaneous Information. In our efforts to provide a seamless and efficient experience on our site, we may also track specific additional pieces of personal information, subject to your authorization. This includes:
i.               Tax Exempt Certificate: For users who provide their tax-exempt certificates for the purpose of tax-exempt transactions, we track this information to comply with applicable tax laws and to facilitate your tax-exempt purchases on our site.
ii.             Google Login and Apple ID Login Tokens: If you choose to authorize login through Google or Apple ID for ease of access and to utilize the features associated with these services on our site, we will track the respective login tokens. This tracking enables us to offer a secure and streamlined login process, enhancing your user experience by allowing for quick and easy access to our site without the need for repeated manual logins.
iii.            Credit Card Authorize.net Token: For users who make purchases on our site, we track the credit card authorize.net token as a measure to securely process transactions without storing your actual credit card information on our servers. This method is adopted to enhance the security of your financial information while ensuring transactional efficiency and compliance with payment processing standards.
F.             Warehouse Data.  For security, safety, and operational purposes, we collect and maintain video and audio recordings at our warehouse facilities. These recordings may capture individuals who visit, work at, or deliver to our warehouses. We use this data to:
•       Monitor and enhance facility security
•       Ensure workplace safety compliance
•       Optimize warehouse operations and logistics
•       Investigate and prevent theft, fraud, or other criminal activities
•       Comply with legal obligations and insurance requirements
These recordings are retained in accordance with our data retention policies and applicable laws. Access to this data is strictly controlled and limited to authorized personnel for legitimate business purposes.

The tracking of these pieces of information is crucial for operational, security, and compliance purposes. It allows us to provide you with the personalized services and features that best meet your needs, while also ensuring the highest standards of user data protection and regulatory compliance.

7.              USE OF PERSONAL AND GENERAL INFORMATION; DATA RETENTION. We will use the personal information you provide and any general information we receive from you to: (i) provide products and services to you, including, but not limited to, processing purchases through the site, providing requested information or materials via email, providing information regarding product bidding, and delivering newsletters; (ii) maintain warehouse and operational security; (iii) investigate and resolve disputes or violations; and (iv) enforce our Terms & Conditions. By registering on the site, you consent to receive these emails and to our use of your information for the purposes described above. If you no longer wish to receive emails from us, or if you want to modify your personal data or request its deletion from our database, see Section 13. Please note that we may retain certain information as required by law or as necessary to enforce our Terms & Conditions, even after account deletion, suspension, or termination.
A.            Data Retention. We retain personal information and general information we receive from you for as long as reasonably necessary to fulfill the purposes for which it was collected, as described in this privacy policy. In determining the appropriate retention period, we consider the following criteria:
i.               the duration of your account or relationship with us;
ii.             whether there is a legal or regulatory obligation to which we are subject that requires us to retain the information (for example, tax compliance, fraud prevention, or accounting and business continuity requirements);
iii.            whether retention is necessary to protect the security of our website, users, or warehouse operations (for example, fraud detection logs, IP address records, and security recordings);
iv.            whether the information is needed to resolve disputes, enforce our Terms & Conditions, or comply with legal obligations; and
v.              the nature and sensitivity of the information.
Account-related personal information (such as your name, email address, phone number, and transaction history) is generally retained for the life of your account and may be retained after account closure for fraud prevention, legal compliance, and accounting purposes. Certain browsing and activity data, such as recently viewed items and recent search phrases, may be subject to count-based limits and periodic automated cleanup. Tokenized payment information is retained while the associated payment method is on file and may be retained thereafter for transaction record purposes. Session cookies expire after one day. Warehouse video and audio recordings are retained in accordance with our data retention policies and applicable laws, as described in Section 6(F). We will not retain your personal information for longer than is reasonably necessary for the disclosed purposes, consistent with our obligations under the CCPA/CPRA and other applicable laws.
8.              PROTECTION OF YOUR PERSONAL INFORMATION AND GENERAL INFORMATION.
A.            Security Measures. In order to protect both the personal information and the general information that we receive from you through our website and warehouse operations, we have implemented various security measures common in the industry, including but not limited to encryption, access controls, authentication protocols, and physical security measures. These measures are designed to protect your information both in digital and physical formats in accordance with industry standards.
B.             Risk of Interception. Please keep in mind that whenever you provide personal information, whether online or through warehouse interactions, there is a risk that third parties may intercept and use that information. While Company strives to protect your personal information and privacy, we cannot guarantee the security of any information you disclose. By using the site, our warehouse facilities, and (if applicable) purchasing a product, you expressly acknowledge and agree that we do not guarantee the security of any data provided to or received by us and that any personal information, general information, or other data or information received from you is provided to us at your own risk, which you expressly assume. To the maximum extent permitted by applicable law, Company, its affiliates, owners, officers, directors, employees, agents, and representatives shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from or relating to any unauthorized access to, breach of, or misuse of your information, regardless of the cause and whether or not we have been advised of the possibility of such damages.
9.              NOTICE OF CALIFORNIA PRIVACY RIGHTS. If you are a California resident,  the processing of your personal information may be subject to the California Consumer Privacy Act (“CCPA”), the California Privacy Rights Act of 2020 (“CPRA”), and other California privacy laws.   Any terms defined in the CCPA/CPRA have the same meaning when used in this Section 9.

B.             California-Specific Privacy Rights.
i.               Right to Know.  You have the right to request that Company provide you with the following information:
a.              The categories and specific personal information and sensitive personal information that we have collected about you.
b.              The categories of sources from which we collect personal information and sensitive personal information.
c.              The purposes for collecting, using, or selling personal information and sensitive personal information.
d.              The categories of third parties with which we share personal information and sensitive personal information.
e.              The categories of personal information and sensitive personal information we have disclosed about you for a business purpose.  Note that the CCPA/CPRA defines “business purpose” broadly; and because we use service providers for a number of business purposes that require access to our systems that hold personal information (such as supplying cloud data storage, maintaining the security of our systems, and providing customer support), in the past 12 months we have disclosed for a business purpose data from each of the categories of personal information we maintain.
f.               The categories of personal information and sensitive personal information we have sold about you (if any), for each category of third parties to which the personal information was sold.  Note that the CCPA/CPRA define “sell” and “personal information” very broadly, and some of our data sharing described in this policy may be considered a “sale” under that definition.  In the past 12 months, we have sold (within the meaning of the CCPA/CPRA) the following categories of personal information: contact information, identifiers and device information and usage data.  In particular, we let advertising and analytics providers collect IP addresses, cookie IDs, and mobile IDs through our website and apps when you use our online services, but do not “sell” any other types of personal information.  Except as set forth herein, we do not knowingly sell personal information.

ii.             Right to Request Deletion.  You also have a right to request that we delete personal and sensitive personal information under certain circumstances, subject to a number of exceptions.  To make a request to delete, call us at (916) 237-6546 or email us at support@justbid.com.
iii.            Right to Opt-Out.  You have a right to opt-out from future “sales” of personal information.  You may request that we do not disclose, disseminate, or transfer your personal information to a third party for targeted advertising (also known as “cross-context behavioral advertising”). To exercise your right to opt-out, you may email us at support@justbid.com.
iv.            Right to Correction of Personal Information.  You have a right to have inaccurate personal information corrected. To make a request to correct your personal information, call us at (916) 237-6546 or email us at support@justbid.com.
v.              Right to Limit Use and Disclosure of Sensitive Personal Information.  You have a right to request that we limit the use and disclosure of your sensitive personal information to only those uses that are necessary to perform the services or provide the goods reasonably expected by an average consumer who requests those goods or services, or as otherwise permitted by applicable law. We do not use or disclose sensitive personal information for purposes other than those permitted under CPRA regulations. vi.            Right to Data Portability.   You have a right to request that we provide the personal information we have collected about you in a portable and, to the extent technically feasible, readily usable format that allows you to transmit your personal information to another entity without hindrance. You may designate, in writing or through a power of attorney, an authorized agent to make requests on your behalf to exercise your rights under the CCPA/CPRA. Before accepting such a request from an agent, we will require the agent to provide proof you have authorized it to act on your behalf, and we may need you to verify your identity directly with us. To verify your identity when you submit a request, we use a reasonable verification process that may include matching information you provide (such as your name, email address, and account details) against the personal information we have previously collected about you. If you have an account with us, we may verify your identity through your account credentials. For requests involving sensitive personal information or requests to delete personal information, we may require additional verification steps, such as a signed declaration under penalty of perjury. If we cannot verify your identity, we may deny your request to the extent permitted by law. Finally, you have a right to not be discriminated against for exercising rights set out in the CCPA/CPRA. This means we will not deny you goods or services, charge you different prices or rates, provide you with a different level or quality of goods or services, or suggest that you may receive a different price or rate or different level or quality of goods or services, because you exercised any of the rights described in this Section 9(B).

Additionally, under California Civil Code section 1798.83, also known as the “Shine the Light” law, California residents who have provided personal information to a business with which the individual has established a business relationship for personal, family, or household purposes (“California Customers”) may request information about whether the business has disclosed personal information to any third parties for the third parties’ direct marketing purposes. In general, if the business has made such a disclosure of personal information, upon receipt of a request by a California Customer, the business is required to provide a list of all third parties to whom personal information was disclosed in the preceding calendar year, as well as a list of the categories of personal information that were disclosed.

10.           CALIFORNIA “SHINE THE LIGHT” REQUESTS. California Customers may request further information about our compliance with this law by calling us at (916) 237-6546 or emailing us at support@justbid.com. In your request, please attest to the fact that you are a California resident and provide a current California address for your response. Please allow up to thirty (30) days for a response.
11.           NO USE OF THE SITE BY PERSONS UNDER 18 PERMITTED. Company intends only persons who are 18 years or older to use the website. Personal registration information submitted by a person under the age of 18 will not be accepted. Any general information provided by a person under the age of 18 and gathered (for example, using cookies) during his or her visit may be used as indicated in this policy (see Section 6). Company is committed to protecting the privacy of children and has no intention of collecting personal data from children under the age of 18. 
12.           THIRD PARTIES.
A.            Sharing Information with Persons or Entities Who Manage The Website. Company’s website and the personal information and general information collected are managed and controlled by Company. The servers that make Company’s website available may be located throughout the United States, and in some cases other countries in the world. Please note that the information you provide will be transferred to and from such servers, and by submitting the information you authorize this transfer. 
B.             Disclosing Information to Third Parties. Except as set forth herein, we do not knowingly sell or trade your personal information as defined under the California Consumer Privacy Act (CCPA) or other applicable privacy laws. However, we may share your personal information with third parties as necessary for our business operations. We provide some of our services through contractual arrangements with affiliates, services providers, partners and other third parties (collectively, “service partners”). Our service partners may use your personal information to operate our sites and to deliver their services. For example, your data may be transferred to website hosting partners, third party messaging or emailing platforms, warehouse security service providers, and other service partners who assist in our business operations. The use of your personal information by our service partners is governed by their respective privacy policies and applicable data protection laws, and while we carefully select our partners, their data handling practices are not under our direct control. We encourage you to review the privacy policies of our service partners periodically.
C.             Security. Company will release personal or general information without your consent for security purposes, when required by law, or to prevent imminent harm to any person or entity. We will disclose personal or general information upon receipt of a court order or subpoena, or to cooperate with a law enforcement investigation, which may include responding to requests and court orders from jurisdictions outside the United States. We fully cooperate with law enforcement agencies in identifying those who use our services for illegal activities. We reserve the right to report to law enforcement agencies any activities that we in good faith believe to be unlawful, as determined in our sole discretion. Release of your personal data for security purposes, as described in this agreement to any person or entity under any circumstances shall be based on a determination made solely by us, exercising our own discretion, permission for which is expressly granted by you to us in accordance with this policy.
D.            Links to Third Parties. For your convenience and to improve the usage of the website we may insert links to third parties on the site. This privacy policy does not apply to such third-party websites. These links take you outside our service and off the Company’s site and are beyond our control. The sites those links can take you to have their own separate privacy policy and although we seek to protect the integrity of our site, Company is not liable for the content and activities of those sites. Your visits and access to such websites is at your own risk. Please note that those other sites may send their own cookies to users, collect data, or solicit personal information.
13.           COOKIES AND THIRD-PARTY DATA COLLECTION; DO NOT TRACK SIGNALS. A cookie is a small string of information that the website you visit transfers to your computer for identification purposes. Cookies can be used to follow your activity on the website and that information helps us to understand your preferences and improve your website experience. We collect data from various third-party platforms and services, including, without limitation:
•       Google Ads and Google Analytics for advertising and website traffic analysis
•       Bing Ads for advertising purposes
•       Pinterest for marketing and user engagement
•       TikTok for social media marketing and analytics
•       Meta ads (Facebook and Instagram) for social media advertising and user tracking
•       Klaviyo for email marketing and customer engagement
•       Viralsweep.com for promotional campaigns
•       Apple and Google authentication services for account logins
Cookies are used for such activities as remembering your usernames (which may be Apple logins, Google logins, or email addresses) password, if you use such a feature on the site. In addition to these uses, we employ cookies for Google Analytics to analyze website traffic, Cloudflare firewall cookies for enhancing site security, session cookies to facilitate loading and auto-login features, and cookies to remember customer preferences to provide a more personalized browsing experience, and cookies to support warehouse and fulfillment operations by linking your online activity to in-store or curbside pickup services.

You can turn off all cookies if you prefer not to receive them. You can also have your computer warn you whenever cookies are being used. For both options, you must adjust your browser settings (such as Mozilla Firefox or Internet Explorer, Safari, Google Chrome, etc.). There are also software products available that can manage cookies for you. Please be aware, however, that when you choose to reject cookies, this choice may limit the functionality of the website you visit and you may lose access to some of its features.

Some web browsers transmit “Do Not Track” (DNT) signals to websites. Because there is no uniform standard for how DNT signals should be interpreted, JustBid.com does not currently respond to or alter its practices when it receives DNT signals from your browser. JustBid.com does recognize opt-out preference signals such as the Global Privacy Control (GPC). When we detect a valid GPC signal from your browser, we will treat it as a request to opt out of the sale or sharing of your personal information for that browser or device, consistent with the California Consumer Privacy Act, as amended by the California Privacy Rights Act (CCPA/CPRA).

14.           DELETING OR MODIFYING PERSONAL INFORMATION. You may cancel your registration at any time, and you may opt out of receiving any emails from Company. Additionally, you can choose to have your personal information deleted from our database, although we may retain certain information as required by law or for legitimate business purposes, such as maintaining security, preventing fraud, resolving disputes, or complying with legal obligations. Any retained information will be handled in accordance with applicable privacy laws. You may opt out, or delete or modify your personal information, by contacting us at the contact information below. You may also opt out of receiving email communications if you signed up for the mailing list by clicking any “opt out” link through the third-party email platform, MailChimp or in your bidder profile. We encourage you promptly to update your personal information when it changes.
15.           LIMITATION OF LIABILITY. TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL COMPANY OR ITS AFFILIATES (INCLUDING WITHOUT LIMITATION ANY OF ITS OR THEIR RESPECTIVE OWNERS, OFFICERS, DIRECTORS, MANAGERS, EMPLOYEES, AGENTS, AND REPRESENTATIVES) BE LIABLE TO YOU OR ANY THIRD PARTIES FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO THIS POLICY, INCLUDING WITHOUT LIMITATION DAMAGES ARISING FROM OR RELATING TO: (A) THE COLLECTION, TREATMENT, USE, DISCLOSURE, STORAGE, OR TRANSFER OF YOUR PERSONAL OR GENERAL INFORMATION; (B) ANY BREACH, UNAUTHORIZED ACCESS, OR MISUSE OF YOUR INFORMATION WHETHER THROUGH OUR WEBSITE, MOBILE APPLICATIONS, WAREHOUSES, OR OTHER COMPANY FACILITIES OR SYSTEMS; OR (C) ANY OTHER INTERACTION WITH COMPANY OR ITS AFFILIATES. NOTWITHSTANDING THE FOREGOING, THIS LIMITATION OF LIABILITY SHALL NOT APPLY TO: (I) DAMAGES ARISING FROM COMPANY’S GROSS NEGLIGENCE OR WILLFUL MISCONDUCT; (II) DAMAGES ARISING FROM COMPANY’S FAILURE TO IMPLEMENT AND MAINTAIN REASONABLE SECURITY PROCEDURES AND PRACTICES AS REQUIRED BY CALIFORNIA CIVIL CODE SECTION 1798.81.5; OR (III) ANY STATUTORY DAMAGES OR REMEDIES THAT CANNOT BE LIMITED OR WAIVED UNDER APPLICABLE LAW, INCLUDING BUT NOT LIMITED TO REMEDIES AVAILABLE UNDER THE CCPA.
16.           MISCELLANEOUS. This policy shall be governed according to the laws of the State of California. No waiver of any term, provision, or condition of this policy, whether by conduct or otherwise, shall be deemed a further or continuing waiver. If any provision or part of this policy is found to be invalid or unenforceable, the remaining provisions shall nevertheless remain valid and enforceable. 
17.           DATA BREACH NOTIFICATION. In the event of a security breach involving your personal information that triggers notification obligations under California Civil Code section 1798.82 or other applicable law, we will notify affected individuals in accordance with applicable legal requirements. Such notification will be made in the most expedient time possible and without unreasonable delay, consistent with any measures necessary to determine the scope of the breach, restore system integrity, and cooperate with law enforcement. Notification may be provided by email, written notice, or other means as permitted by law.
